Variable Capital Companies
A flexible and modern structuring solution for global investors.
A Variable Capital Company (VCC) is a private company structure with flexible share capital linked to its net asset value (NAV) rather than a fixed nominal capital. This allows capital to increase or decrease efficiently in line with investment activity.
DIFC's Variable Capital Company regime is a forward-looking corporate framework designed to support modern investment structures, asset holding vehicles and wealth management strategies. It positions DIFC as the leading jurisdiction for flexible capital structures, offering an efficient vehicle to manage assets and investments.
A VCC in DIFC may be established as:
- A standalone entity for single investment structures or holding arrangements.
- A VCC with multiple Segregated Cells (SC) or Incorporated Cells (IC) for separate investment strategies or investor groups within a single framework.
All VCCs must appoint a DIFC-licensed Corporate Service Provider (CSP). A CSP performs administrative, compliance and regulatory liaison functions with the Registrar of Companies, helping ensure strong compliance and operational integrity. VCCs controlled by most types of DIFC companies and partnerships, regulated firms, government entities or publicly listed companies are exempt from this requirement.
